Valhalla operates through five distinct legal entities—LP, GP, BrandCo, HoldCo, and PropCo—strategically designed to separate ownership, governance, and operational control. The structure is anchored in Canadian jurisdiction, with legal counsel from Nexos, Mallette, and Fasken.
Investor capital is protected by a performance-driven waterfall: an 8% preferred return is paid first. If returns exceed that, promoters receive 20% of the upside. Above a 15% IRR, the promote increases to 30%. This ensures alignment between founders and investors from day one.

Valhalla generates revenue through two integrated streams: the Villas, which bring in capital via presales and long-term rental income; and the Viking Park, which produces recurring cash flow through ticketing, food and beverage, and brand activations.
