Valhalla operates through five distinct legal entities—LP, GP, BrandCo, HoldCo, and PropCo—strategically designed to separate ownership, governance, and operational control. The structure is anchored in Canadian jurisdiction, with legal counsel from Nexos, Mallette, and Fasken.

Investor capital is protected by a performance-driven waterfall: an 8% preferred return is paid first. If returns exceed that, promoters receive 20% of the upside. Above a 15% IRR, the promote increases to 30%. This ensures alignment between founders and investors from day one.

Founders earn nothing until investors reach an 8% preferred return. This structure ensures that compensation is directly tied to real results—not projections or promises.

Valhalla generates revenue through two integrated streams: the Villas, which bring in capital via presales and long-term rental income; and the Viking Park, which produces recurring cash flow through ticketing, food and beverage, and brand activations.

Capital raised is allocated with precision: $3.7M CAD secures the land, $559K covers pre-development, $137K is reserved for acquisition and transfer fees, and $93K is allocated for contingency. This structure ensures immediate control of the asset and development momentum.

Valhalla unfolds in three clear phases: Phase 1 secures the lot and launches pre-development. Phase 2 builds villa models and begins presales. Phase 3 builds the Viking Park. Each stage unlocks value while minimizing dilution and maximizing visibility.

The Villas are designed to sell fast and rent strong, creating immediate and recurring yield. Their presale revenue also reduces the need for a large Series A, limiting dilution for early investors.

Founders are all-in—putting in 10% of the capital and over $75K in pre-development. With no promote until the preferred return is cleared, their upside is fully tied to the project's success.
